Private equity fundraising — raised and closed, growth rounds of ₹50 crore to ₹500 crore

We advise Indian promoters and companies on growth-equity, venture capital, pre-IPO and strategic-capital rounds between ₹50 crore and ₹500 crore. We are the senior team that builds the investor story, runs the process, negotiates the term sheet and closes the round.

Capital is plentiful in India. What is scarce is valuation discipline, knowledge of which investor fits which business, and the patience to walk away from a bad term sheet. That is where we add the most value.

25+ active relationships with India-focused PE, VC, growth-equity and strategic-capital investors. Pre-IPO investment mandates across capital goods, logistics, outdoor media, IT and solar, with IBBI Registered Valuers and corporate lawyers in-house.

  • You are running a pre-IPO round with anchor investors, structured instruments or IPO-linked rights.
  • You want a strategic capital partner, not just a financial one, and the shortlist needs careful curation.
  • You already hold a term sheet and want senior advisors to benchmark, negotiate and close it.
  • You are planning a secondary sale for promoters, founders or ESOP holders alongside a primary raise.
  • You want a competitive process rather than a single-investor conversation.

How we run a private equity round

  1. ScopingA partner-led diagnostic of valuation readiness, cap-table cleanliness, governance and your minimum acceptable terms.
  2. PositioningThe investor story — unit economics, market logic, three-year trajectory — tested against real investor questions before the process goes live.
  3. Process designCompetitive process, curated shortlist or bilateral, chosen on evidence rather than habit.
  4. OutreachTargeted, senior-to-senior outreach to a curated list, aiming to convert 60–80% of approaches into meetings.
  5. Term-sheet negotiationPartner-led redlines. We push back on terms that compound against you at exit and secure promoter protections the investor can accept.
  6. Diligence and documentationOur legal team drafts or marks up the SSHA, SPA and SHA alongside the corporate-finance lead, so commercial terms and documents stay aligned.
  7. ClosingConditions precedent, completion mechanics, escrow and the post-closing governance calendar.

What funds check before they issue a term sheet

Most rounds that stall do so on the same few issues. We check these before the first investor meeting:

  • A clean cap table and complete share-issue history.
  • Three years of audited accounts with consistent accounting policies.
  • Related-party transactions documented at arm’s length.
  • Statutory filings current; litigation schedule complete.
  • Customer and supplier concentration explained; key contracts assignable.
  • Promoter guarantees and pledges disclosed; ESOP pool documented.

Frequently asked questions

What ticket sizes do you advise on?

Growth-equity, pre-IPO and strategic-capital rounds between ₹50 crore and ₹500 crore, for Indian promoter-led companies. Smaller rounds are taken on where the business has a clear institutional-investor story.

How long does a private equity round take?

Well-scoped rounds close in 16 to 24 weeks from kick-off. Complex structures, such as secondaries or pre-IPO rounds with anchor structures, can take 28 to 32 weeks. A process that runs past six months usually has a story or governance issue to fix before relaunch.

Should we raise private equity, debt or go for an IPO?

It depends on how much capital you need, how soon, what you want it for, and how much control and disclosure you will accept. Private equity brings capital and a partner but gives investors governance rights. Structured debt preserves ownership but needs cash flow to service it. A listing raises capital without board seats but brings public disclosure. We give you a written comparison before you commit.

Do you advise on valuation, or is that left to the investor?

We advise on valuation actively. For every fundraising mandate, an internal valuation range is prepared against which investor offers are benchmarked, so a term sheet below fair value is recognised as one.

Which term-sheet clauses matter most to promoters?

Valuation and the instrument, liquidation preference, anti-dilution, board and reserved matters, information rights, exit rights and timelines, drag-along and tag-along, and ROFO/ROFR. Several of these compound against the promoter at exit, which is why we negotiate them as a package rather than clause by clause.

Can you run a confidential process?

Yes. We run staggered outreach under code names, with NDAs signed before any materials are shared and controlled data-room access. For regulated or sensitive businesses, confidentiality is designed in from the start.

Do you help with secondary sales and promoter liquidity?

Yes. We advise on secondary sales by promoters, founders and ESOP holders, alone or alongside a primary raise.

What is your fee structure?

A fixed engagement retainer plus a success fee on closure. The retainer covers scoping, materials and initial outreach; the success fee is a percentage of funds raised, scaled to ticket size.
